Job Description

The Associate Attorney will serve as a Corporate Attorney for working to advise clients on financing and corporate transactions to include drafting complex commercial documents, leading transactions and team members. In addition to venture debt and venture equity, we offer assistance with a broad range of general legal matters such as corporate transactions, entity formation and corporate governance. Work with partners, associates, paralegals and local counsel in various US jurisdictions and around the world in handling the following tasks: • Advising on and handling the legal aspects of corporate transactions (e.g. mergers & acquisitions, debt and equity financings, fund formation, regulatory compliance, commercial transactions and agreements); • Conducting research and analysis of legal matters across various practice areas for our law firm; • Researching, anticipating and guarding client against legal risks; • Guiding corporate clients and ensuring compliance with rules and regulations; • Structuring, drafting and reviewing contracts and other legal documents; • Drafting and administering legal contracts; • Leading client calls and communication; and • Negotiating and closing deals. General, Minimum Requirements: Juris Doctor (J.D.) Degree in Law, or an equivalent foreign degree plus 3 years of experience working as a corporate attorney in a law firm handling debt financing transactions, including asset-backed facilities, term loans, receivables financings and working capital facilities; representing both borrowers and lenders in connection with the foregoing..

Special Requirements: Must be admitted to practice law in the State of New York; experience must include conducting research and analysis on laws applicable to debt finance transactions, including the New York General Obligations Law, the New York Uniform Commercial Code, the Common Law of New York State, Delaware Corporation and Business Entity Laws and the Investment Company Act of 1940; Analyzing and synthesizing legal documentation to assess debtor and creditor rights and obligations, including a company's ability to incur debt, liens, investments, restricted payments and/or dispositions in connection with a variety of debt finance related transactions and scenarios implicating the capital structure, particularly the indebtedness, of a company; Drafting and negotiating legal documentation, including debt commitment and fee letters, credit agreements, intercreditor and subordination agreements, guarantee and collateral agreements, account control agreements, company resolutions and organizational documents, and legal opinions in respect of such documentation; and Advising and representing clients on legal and commercial issues, in particular their rights and obligations, under applicable law and relevant legal documentation, and formulating strategy and tactics with clients, in respect of capital raising and structuring, as well as counterparty negotiations, to best achieve their financial, operational and risk management objectives..
